TERMS & CONDITIONS
These Terms and Conditions govern the relationship between Stitch Creative Media (“we”, “us”, “our”) and any client or individual (“you”, “the client”) who engages our services or uses our website. By engaging our services, you agree to these terms.

1. Our Services
Stitch Creative Media provides creative services across three areas: Studio (video production, brand films, commercial photography, drone cinematography, and creator filming), Digital (video editing, motion graphics, website builds, and design), and Social (social media management, content strategy, and short-form publishing).
The specific services to be provided, the project scope, timeline, and agreed fees for any engagement will be set out in a separate project proposal or service agreement issued to you before work begins.
2. Proposals and Agreements
All work is undertaken on the basis of a written proposal or agreement agreed between both parties. A project is confirmed when you have approved the proposal in writing (including by email) and paid any deposit required.
Any changes to the agreed scope of work must be agreed in writing before additional work is carried out. Changes to scope may affect the timeline and fees.
3. Fees and Payment
Project fees are set out in the relevant proposal. Unless otherwise agreed, a deposit of 50% is due upon project confirmation, with the remaining balance due upon delivery of final files.
Retainer fees are invoiced monthly in advance. The first payment is due before work commences in the first month.
Late payment: Invoices are due within 14 days of the invoice date unless otherwise agreed in writing. We reserve the right to charge interest on overdue amounts in line with the Late Payment of Commercial Debts (Interest) Act 1998, currently at 8% above the Bank of England base rate.
Suspension of work: We reserve the right to pause work on any project where an invoice remains unpaid beyond the agreed payment terms, without liability for any resulting delay.
4. Intellectual Property
Ownership during a project: All creative work, including footage, photography, designs, edits, and written content, remains the intellectual property of Stitch Creative Media until full payment has been received.
Ownership upon full payment: Once all fees have been paid in full, the agreed deliverables are licensed to the client for the purposes set out in the proposal. Unless otherwise agreed in writing, this is a non-exclusive licence.
Raw files and source files: Unless specifically agreed as part of the project scope, raw footage, source files, project files, and edits-in-progress remain the property of Stitch Creative Media and are not included in the deliverables.
Third-party assets: Where third-party music, stock footage, fonts, or other licensed assets are used in a project, it is the client’s responsibility to ensure they have the appropriate licences for their intended use. We will advise where relevant.
5. Portfolio Usage
We reserve the right to use any work produced for clients in our portfolio, on our website, and in our marketing materials, unless the client requests otherwise in writing before the project commences. Any request to restrict portfolio usage must be agreed before work begins and may affect the project fee.
6. Client Responsibilities
To enable us to carry out work effectively, you agree to:
- Provide all necessary materials, information, feedback, and approvals in a timely manner
- Ensure that any materials you supply to us (such as logos, images, or written content) do not infringe the intellectual property rights of any third party
- Designate a single point of contact for the project to avoid conflicting instructions
Delays caused by late provision of materials or approvals may affect project timelines and we will not be liable for any resulting delays.
7. Revisions and Amendments
Unless otherwise specified in the proposal, each project includes a reasonable number of revision rounds as outlined in the relevant agreement. Revisions beyond the agreed number will be charged at our standard day rate or hourly rate, which will be communicated to you in advance.
8. Cancellation
Cancellation by the client: If you cancel a project after work has commenced, you will be liable to pay for all work completed up to the point of cancellation. Any deposit paid is non-refundable. If the cancellation fee exceeds the deposit, we will invoice for the difference.
Cancellation by us: We reserve the right to withdraw from a project if the working relationship has broken down, if payment obligations are not met, or if we are asked to produce content that is unlawful or contrary to our values. In such cases, we will invoice for all work completed to date.
9. Limitation of Liability
To the fullest extent permitted by law, our total liability to you in connection with any project shall not exceed the total fees paid by you for that project.
We are not liable for any indirect, consequential, or special loss arising from our services, including but not limited to loss of revenue, loss of profit, or loss of business opportunity.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
10. Confidentiality
Both parties agree to keep confidential any sensitive information shared during the course of a project that is reasonably understood to be confidential. This obligation does not apply to information that is publicly available or that is required to be disclosed by law.
11. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may update these Terms and Conditions from time to time. The current version will always be available on our website. Continued use of our services following any update constitutes acceptance of the revised terms.
